Meeting of the Board of Directors
February 9, 2013

The 191st meeting of the Board of Directors of the Capital District Kiwanis Foundation was held on Saturday, February 9, 2013 at the Fredericksburg Hospitality House.

President H.L.Marks opened the meeting at 10:00 AM, Roy Sheets led the Pledge of Allegiance and Brian Bell gave the invocation.

Approval of the Amended Agenda: Motion by John Rife and seconded by Mike Dasovich to accept the amended agenda. Motion passed.

Minutes of the November 10, 2012 Meeting: Motion to approve the corrected minutes as circulated was made by Floyd Brown and seconded by Don Jones. Motion passed.

Treasurer Report: Marion Allen presented the Treasurer’s report which was circulated to the Board. The complete treasurer’s report is made a permanent part of the minutes. Brian Bell moved to accept the report. Second by Jeffrey Wolff. Motion passed.

Life Membership: Secretary Charles Adams reported that there are 2785 Life memberships at this time and they are recognized on the CDKF web site.

Caring Corner: Ron Reynolds passed out letters to go to the Club Presidents, Lt. Governors and Trustees. He also passed out a new Caring Corner brochure that asks for donations and asked for the Board’s approval. Mike Dasovich moved to approve the new brochure, second by Charles Adams. Motion passed John Fox was asked to put it on the web site as well. A motion was made by Ron Reynolds to add Ducky Derby to the brochure. Second by Harry Kriemelmeyer. Motion passed.

Ducky Derby: Bob Cassada passed out adoption Certificates to go to the Lt. Governors to present to the clubs. Funds go to the pediatric trauma Hospitals. Mail any donations for prizes to Marion Allen.

Teenager of the Year: Roger Diehl reported that TOY is a District Project and CDKF is the funding agent. Lt. Governors do not get information to the Club Presidents about Teenager of the year. The application students need to fill out is on the web site. We need to put a link to the leadership page for contact information. Brian bell asked to have information sent to the CDKF Directors. Governor Richar is setting up a committee to address TOY administrative changes.

Founder’s Society- No Report

Finance Committee – Stan Miller reported that the rollover of two CD’s approved at the November meeting has been done. One CD for $75,000 comes due march1, 2013 and the committee recommends a rollover for one year- probably at .25%. He asked for board approval. Motion passed. Look into Bond fund which needs to be federally insured. Value could go up and down. He will ask Bob Cressy for consideration.

Financial Advisor’s Report – Bob Cressy presented a complete report to the Financial Committee which is made a permanent part of the CDKF minutes.

Bylaws and Policy Committee – Joe Maranto reported that the new bylaws were signed today and will be sent by Secretary-Treasurer Tom Varner to Kiwanis International for Board approval.

New Business

Life memberships- Charles Adams reported that a request had been made about the possibility of giving Life memberships to all Kiwanis Family members. A motion was made by Jeff Wolff to change the wording on the web page concerning Life Memberships to include all members of the Kiwanis Family. Second by Mike Dasovich. Motion passed.

President’s Comments:H.L. Marks
Membership Benefits Committee- An email from President Marks was sent to all clubs asking them to put $2 per member contributions to CDKF in their budget. The CLE committee approved including the talking Points presented by H.L. Marks at our last meeting as part of the CLE training.

Annual Club Gift Patch- H.L. Marks has asked Jennifer Wolff to work on a design in March. He hopes to have the patch ready in the next several months. The idea is to have the patch with chevrons for each year a club contributes.

Additional New Business
Hampton Roads Mid-Winter Conference- $1700 was raised for the Foundation with their raffle. H. L. Marks does the raffle ticket and will email a copy to anyone that wants one. President Marks presented the CDKF check for $2900 to the Children's Hospital of The King's Daughters
Capital District Shirts- Harry Kriemelmeyer reported that Lloyd Morrison had shirts for sale at $45 and $5 went to the Foundation CDKF received a check for $225 from the shirt sale.
Shirts to sell for CDKF- Mike Dasovich displayed a number of shirts that are available for the Foundation to sell as a fund raiser. We would set up a website where clubs could order shirts. To customize them would require a minimum order of 25. Profits from the sale would go to CDKF. The company pays for shipping on stock shirts to send out and return. Bob Straka is the dealer.
Mike Dasovich made a motion to approve the shirts as a CDKF fund raiser. Second by Ron Reynolds. The vote was 8 yes, 6 no, I abstention. Motion passed. This will go to the District Board of Trustees for approval.
There being no further business to come before the Board, a motion to adjourn was made by Tim Wesling, seconded by Brian Bell. Motion passed. President H.L. Marks adjourned the meeting.

The next Board meeting will be on May 11, 2013 at 10:00 AM in the Patrick Henry Room at the Fredericksburg Hospitality House. The Finance Committee will meet at 9:00 AM in the same room.
