Meeting of the Board of Directors
February 8, 2014
The 195th meeting of the Board of Directors of the Capital District Kiwanis Foundation was held on Saturday, February 8, 2014 at the Fredericksburg Hospitality House.
President Roy Sheets opened the meeting at 10:00AM. Gary Boswell led the Pledge of Allegiance and Nancy Simonelli gave the invocation.
The following members were in attendance:
Approval of Agenda- Motion to approve was made by Jon Rife. Second by Ken Hogan. Motion passed.
Minutes of the November 9, 2013 Meeting: Motion to approve the minutes as circulated was made by Floyd Brown and seconded by Bob Cassada. Motion passed.
Treasurer Report: Marion Allen presented the Treasurer’s report which was circulated to the Board. The Foundation has $16,663.57 in cash and cash on hand. Investments at market are $787,303.15. Accounts payable are $21,000 to the pediatric trauma Hospitals. Net assets are $776,997.65. Permanently restricted assets are at $537,570.00. Unrestricted at $222,563.00. . The complete treasurer’s report is made a permanent part of the minutes. Gary boswell moved to rapprove the report. Second by Tom Fallon. Motion passed. A motion was made by Tom Fallon to send out the treasurer’s report to the Board one week prior to the meeting. Second by Ken Hogan. Motion passed.
Life Membership: Secretary Charles Adams reported that we have 2 new life members since the last meeting. Carolyn Richar moved to raise the cost of Life memberships to $150 for the 2014-2015 year. Second by Tom Fallon. Motion tabled to New Business.
Caring Corner: Chair Floyd Brown thanked Governor Scott and First Lady Missy for publicizing the Caring Corner at the Regional Mid-Winter Conferences. We voted at the last meeting to do theme baskets for the Silent Auction and flyers about baskets were sent out to all directors.
Ducky Derby: Bob Cassada reported that adoption certificates were distributed to all directors. He emphasized the way to sell certificates was to give 3 to each club member to sell. Need to get the certificates out to the clubs by April 15th. Each director was asked to make a $50 donation or obtain a donation of the same value as additional prizes for the Ducky Derby. If the treasurer cannot read the certificate, it will be withdrawn and another one drawn in its place. . Printing of the 16, 500 certificates was donated by Sandy Simmons of Breeze Printing.
Founder’s Society- Bernice Oden asked about having different levels of the Founder’s Society to generate more funds. Jon Rife suggested that $500 of the $1,000 be set aside for the SLP’s in a division . A motion was made by Carol Richar that future donations to become a member of the Founder’s Society be divided in half- ½ to the endowment and ½ spent to fund SLP grants and scholarships. Second by Brian Bell. Motion passed. There was one abstention. The Board of Directors need to promote the F. S. memberships.
Finance Committee – Gary Boswell reported that the committee recommended that a $25,000 CD be rolled over for a one year term on February 27, 2014. This will be voted on following the Financial Advisor’s report.

Tabled Motion on Life memberships- The original motion by Carol Richar to increase Life memberships to $150.00 effective October 1, 2014 was seconded by Jon Rife. The motion passed.
Fund Raising- Roy Sheets passed out to all directors a list of clubs that did not contribute an annual gift in 2012-2013. There were 1536 members in the clubs that did not contribute an annual gift of $2 per member. Directors need to convince clubs that this is a worthwhile undertaking to support the Pediatric Trauma Hospitals.
There being no further business to come before the Board, a motion to adjourn was made by Charlie Adams, Seconded by Tim Wesling. Motion passed. President Sheets adjourned the meeting. The next Board meeting will be on May 10, 2014 at the Fredericksburg Hospitality House at 10:00 AM in the Patrick Henry Room.
